1. CONCEPTS AND DEFINITIONS

1.1. Paslaugų teikėjas – MB Bluejuice, juridinio asmens kodas 305968744, registruotos buveinės adresas Ašmenos g. 21, Marijampolė, Lietuva.
1.2. Klientas – fizinis arba juridinis asmuo, kuris užsako ir naudojasi Paslaugų teikėjo Paslaugomis. Fizinis asmuo, kuris užsako ir naudojasi Paslaugomis su savo verslu, prekyba, amatu ar profesija nesusijusiais tikslais (vartojimo tikslais) šiose Bendrosiose sąlygose gali būti vadinamas ir „Klientu-vartotoju“.
1.3. Šalys – Paslaugų teikėjas ir Klientas. Kiekvienas iš jų atskirai vadinami „Šalimi“.
1.4. Paslaugos – Paslaugų teikėjo teikiamos interneto (žiniatinklio) paslaugos Klientams, tokios kaip interneto svetainių kūrimas, svetainių talpinimas (hostingas), el. pašto talpinimas, svetainių administravimas. Išsami informacija apie Paslaugų teikėjo teikiamas paslaugas pateikiama Interneto svetainėje.
1.5. Bendrosios sąlygos – šios MB Bluejuice bendrosios paslaugų teikimo sąlygos, kurios nustato pagrindines paslaugų teikimo ir naudojimosi sąlygas, tvarką, Šalių teises ir pareigas. Jos yra skelbiamos Interneto svetainėje bluejuice.lt/parduotuve.
1.6. Specialiosios sąlygos – Paslaugų teikimo planai, parametrai ir Paslaugų teikimo kainodaros sąlygos, kurios kartu su Bendrosiomis sąlygomis sudaro Sutartį. Paslaugų teikimo parametrai ir kainodara skelbiama Interneto svetainėje.
1.7. Sutartis – tarp Kliento ir Paslaugų teikėjo šiose Bendrosiose sąlygose nustatyta tvarka dėl Paslaugų teikimo sudaryta sutartis, kurią sudaro Bendrosios sąlygos, Specialiosios sąlygos ir pagal kurią Šalys viena kitos atžvilgiu prisiima tam tikrus įsipareigojimus, susijusius su Paslaugų užsakymu, jų teikimu ir gavimu bei naudojimusi jomis.
1.8. Interneto svetainė – Paslaugų teikėjo administruojama interneto svetainė, pasiekiama adresu bluejuice.lt.
1.9. Privatumo politika – Paslaugų teikėjo privatumo politika, kuri skelbiama Interneto svetainėje.
1.10. Paslaugos rezervavimo išlaidos – tai išlaidos, kurias Paslaugų teikėjas patiria už atliekamą Paslaugos resursų, pavyzdžiui, vietos serveryje rezervavimą, taip pat Paslaugų teikėjo patiriamos išlaidos, susijusios su darbuotojų laiko sąnaudomis. Klientui sudarius Sutartį fiksuotam Paslaugos terminui, rezervavimo paslaugos išlaidos yra įskaičiuojamos į Paslaugos mokestį.

2. GENERAL PROVISIONS

2.1. The General Terms and Conditions are a legally binding document for the Parties. Each Client must comply with them. The Services may be ordered and used only after familiarizing themselves with the General Terms and Conditions and undertaking to comply with them. If the Client does not agree with the General Terms and Conditions (or part of them), he may not order and use the Services.
2.2. The Service Provider may change the General and Special Terms and Conditions if the Services, the specifics of their provision, the business model or legal acts change.
2.3. Clients are informed about the changed General Terms and Conditions by e-mail. The changed terms and conditions shall enter into force after their publication on the Website. If the Client orders the Services after the changes, it shall be deemed that he agrees with the changes.
2.4. The Service Provider shall not be liable if the Client has not familiarized himself with the General and (or) Special Terms and Conditions.

3. THE AGREEMENT AND ITS SUBJECT MATTER

3.1. The Agreement is considered concluded when the Client places an order, agrees to the terms and conditions and pays for the Services.
3.2. The Service Provider undertakes to provide high-quality Services, and the Client undertakes to accept the Services and pay for them.

4. ORDERING AND RENEWAL OF SERVICES

4.1. Services are ordered on the Website. The Agreement comes into force after the Client has paid the advance invoice.
4.2. The advance invoice must be paid within the period specified therein. If payment is not made on time, the order is cancelled.
4.3. At least 7 days before the end of the service provision period, the Service Provider submits an invoice for extension. After payment, the services are extended.

5. CUSTOMER INFORMATION

5.1. The Customer undertakes to provide correct, accurate and complete order information. If incorrect data is provided, the Service Provider has the right not to accept the order.
5.2. The Customer is responsible for the accuracy and completeness of the data provided.

6. PROVISION OF SERVICES AND OBLIGATIONS OF THE PARTIES

6.1. The parameters of the provision of specific Services are specified in the Special Conditions.
6.2. The Service Provider undertakes to:
6.2.1. Provide the Client with the Services ordered by him in compliance with the quality parameters.
6.2.2. Provide the Client with access to the Service no later than within 3 business days from the conclusion of the Agreement.
6.2.3. Take measures to eliminate disruptions in the provision of the Service within a reasonable time.
6.2.4. In the event that the Service cannot be provided, inform the Client and return the funds paid.
6.2.5. Take measures to ensure the security of the Client’s data.
6.3. The Client undertakes to:
6.3.1. Provide correct contact information and inform about its changes in a timely manner.
6.3.2. Comply with the Terms of Service and pay for the Services on time.
6.3.3. Not to use the Services for unauthorized activities that violate legal acts.
6.3.4. To pay for the ordered Services by the deadline specified in the advance invoice.
6.3.5. To immediately inform the Service Provider about any disruptions in the provision of Services.
6.3.6. To ensure the security of the program code of the hosted websites, to update the software and plugins used in a timely manner.
6.4. The Service Provider has the right to use third parties (subcontractors) to fulfill its obligations.
6.5. The Service Provider has the right to immediately suspend or terminate the provision of Services if the Client’s actions pose a threat to the security of the services, cause damage, or the services are used illegally.

7. PAYMENT FOR SERVICES

7.1. The use of the Services by the Client is subject to payment.
7.2. Fees for the Services are specified on the Website. The rates valid at the time of placing the order apply.
7.3. The fee is specified in the advance invoice and includes VAT (if applicable).
7.4. The fee must be paid by the deadline specified in the advance invoice.
7.5. If the Client terminates the Agreement before the end of the paid term, the paid funds are not refunded, except for the case provided for in clause 8.1.
7.6. Invoices are sent to the e-mail address specified by the Client.
7.7. The Service Provider may change the fees by notifying the Client no later than 30 days in advance.
7.8. If the Client fails to pay the advance invoice on time, the provision of the Services is automatically suspended 5 (five) calendar days after the end of the payment term.

7.9. If the Customer wishes to resume the provision of suspended Services, the following one-time Service renewal fees (including VAT) apply in addition to debt repayment:

7.9.1. if the renewal request is submitted and the debt is paid within 30 (thirty) days from the suspension of the Services – 150 EUR;
7.9.2. if the renewal request is submitted and the debt is paid within the period from 31 (thirty-first) to 60 (sixty) days from the suspension of the Services – 300 EUR;
7.9.3. if the renewal request is submitted and the debt is paid within the period from 61 (sixty-first) to 90 (ninety) days from the suspension of the Services – 1000 EUR.
7.10. After 90 (ninety) days from the suspension of the Services, all Customer data related to the Service is irreversibly deleted, and the restoration of the Services becomes impossible. The Service Provider is not liable for the loss of Customer data after this period.
7.10. The customer agrees to receive electronic invoices.

8. CANCELLATION, TERMINATION AND REFUND OF THE CONTRACT

8.1. The Client has the right to withdraw from the contract within 30 days from the conclusion of the contract and to recover the money paid.
8.2. This right does not apply to contracts under which the services have already been fully provided.
8.3. In the event of withdrawal from the contract in accordance with the procedure set out in clause 8.1, the money shall be refunded within 14 days.
8.4. The money shall be refunded in the same way as the payment was made.
8.5. The Service Provider has the right to terminate the Contract if the Client violates the General Terms and Conditions.
8.6. Before terminating the contract, the Service Provider shall warn the Client and give a reasonable period to remedy the violation (except in exceptional cases).

10. PERSONAL DATA

Personal data related to the provision of Services is processed as specified in the Privacy Policy. The Personal Data Processing Agreement is provided below.

11. RESPONSIBILITY

11.1. The guilty Party shall compensate the other Party for direct damage caused by illegal actions.
11.2. The Service Provider is not liable for malfunctions of the systems used by the Client, cyber attacks, failures of the Client’s equipment or improper use of the Services.
11.3. The Services are provided on an “as is” basis. The Service Provider does not guarantee uninterrupted operation, but will try to eliminate malfunctions as soon as possible.
11.4. The Client is fully responsible for the content of the information sent, received and stored by him and for damage caused to third parties.
11.5. The Parties are not liable for failure to fulfill obligations due to force majeure circumstances.

12. EXCHANGE OF INFORMATION

12.1. All notifications to the Client shall be sent to the e-mail address provided by the Client.
12.2. The Client shall immediately inform the Service Provider of any change in contact details.
12.3. The Client shall send notifications to the Service Provider by e-mail [email protected].

13. FINAL PROVISIONS

13.1. The contract and all conditions are subject to the law of the Republic of Lithuania.
13.2. All disputes are resolved through negotiations. If an agreement cannot be reached within 30 days, the dispute shall be resolved in court at the location of the Service Provider’s registered office.
13.3. The customer-consumer has the right to contact the State Consumer Rights Protection Service (www.vvtat.lt) or resolve the dispute through the Electronic Dispute Resolution Platform (ec.europa.eu/odr).

Personal Data Processing Agreement
MB Bluejuice, code 305968744 (hereinafter referred to as the Processor) and the client (hereinafter referred to as the Manager) have entered into this personal data processing agreement (hereinafter referred to as the Agreement).

1. CONCEPTS

Terms such as Personal Data, Processing of Personal Data, GDPR, Data Subject, Subprocessor and others are used in this Agreement as defined in the General Data Protection Regulation (EU) 2016/679.
Main Agreement – ​​a service provision agreement concluded between the Parties, of which this Agreement is a part.

2. SUBJECT MATTER OF THE AGREEMENT

2.1. The Processor, when providing the Services (website development, hosting, administration), processes the Personal Data provided to it on behalf of the Controller.
2.2. The Processor processes Personal Data only to the extent necessary for the provision of the Services under the Main Agreement and acts only in accordance with the lawful instructions of the Controller.
2.3. The nature of the processing of personal data, the purposes, the types of data processed and the categories of subjects are detailed in Annex No. 1 to this Agreement.

3. OBLIGATIONS OF THE CONTROLLER

3.1. The Processor shall process Personal Data solely for the purpose of performing the Main Agreement.
3.2. The Processor shall ensure the confidentiality and security of the Personal Data being processed.
3.3. The Processor shall ensure that persons authorized to process Personal Data are bound by confidentiality.
3.4. The Processor shall implement appropriate technical and organizational security measures to protect Personal Data.
3.5. The Processor shall, at the request of the Controller, provide assistance in fulfilling its obligations under the GDPR (e.g., responding to requests from data subjects).
3.6. Upon termination of the provision of services, the Processor shall, at the Controller’s option, delete or return all Personal Data.

4. SUB-PROCESSORS

4.1. The Controller grants the Processor a general permission to use Subprocessors to provide the Services.
4.2. The Processor shall ensure that the Subprocessors comply with the same data protection obligations as set out in this Agreement.
4.3. The Processor shall inform the Controller of any intention to use a new Subprocessor, giving the Controller the opportunity to object. The list of Subprocessors is provided in Annex No. 1.

5. OBLIGATIONS OF THE DATA CONTROLLER

5.1. The Controller guarantees that the processing and transfer of Personal Data carried out by it to the Processor is lawful.
5.2. The Controller is responsible for ensuring that only lawful and accurate instructions are provided to the Processor.

6. DATA BREACHES

6.1. Upon learning of a Personal Data Breach, the Processor shall immediately, but no later than within 48 hours, notify the Controller thereof.
6.2. The Processor shall provide the Controller with all reasonably necessary information about the breach.

7. RESPONSIBILITY

7.1. The Controller is liable for damage caused by its fault only to the extent that it has failed to comply with the obligations specifically imposed on data processors by the GDPR or has acted in violation of the lawful instructions of the Controller. The Controller’s liability is limited to the amount paid by the Controller to the Controller in the last 6 months prior to the occurrence of the damage.

8. VALIDITY AND TERMINATION OF THE AGREEMENT

8.1. This Agreement shall remain in effect for the duration of the Master Agreement.
8.2. The Agreement may be terminated upon material breach of any of its provisions by either Party.

9. FINAL PROVISIONS

9.1. This Agreement is governed by the law of the Republic of Lithuania.
9.2. Disputes shall be resolved through negotiations, and if unsuccessful – in court at the location of the Administrator’s registered office.
9.3. An integral part of the Agreement is Annex No. 1.

List of subprocessorsCurrently, MB Bluejuice does not directly use external sub-processors that would have access to Customer data. If sub-processors (e.g. cloud service providers) are used in the future, this list will be updated and the Customer will be informed in accordance with the procedure set out in the Agreement.
